Subject:      Additional Information to purchase the business of other company

      The Stock Exchange of Thailand

      As the Thai Factory Development Public Company Limited had passed
the resolutions of the Board of Directors No. 2/2005 dated February 24, 2005
in clause 4.7, consider to purchase the business of other company.n The Company
is pleased to inform that all details will be disclosed in the invitation letter
sent to the shareholders prior the Shareholder Meeting.

      The above transaction is not considering in any classes of the
acquisition and disposition of assets of listed company.  The Company proposes
to buy the Ordinary Shares, par value Baht 100 per share, total amount Baht 1
million as the following calculation.

                  As of December 31, 2004
1.  Net Tangible Assets            810,328,257 Baht             = 0.1234%
2.  Net Profit                 44,498,634 Baht             = 2.2473%
3.  Total Assets                  1,688,072,471 Baht             = 0.0592%

      The Company will purchase the business of other company after the
approval of Shareholders.  In additions, the above transaction is not the
connected transaction.
